Welcome to UniStock. These Terms of Service ("Terms") govern your access to and use of our website, applications, APIs, and related services (collectively, the "Services"). By accessing or using our platform, you agree to comply with and be legally bound by these Terms. If you do not agree to these Terms, you may not use our Services.

1. Eligibility and Account Registration

To use our Services, you must be at least 18 years old and capable of forming a binding contract. By registering for an account, you represent and warrant that you meet these criteria.

• Accurate Information: You agree to provide accurate, current, and complete information during the registration process and to keep your account details up to date.
• Account Security: You are responsible for safeguarding your password and any other credentials used to access your account. You, not UniStock, are entirely responsible for all activities that occur under your account, whether authorized by you or not.
• Unauthorized Access: You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

2. Use of the Services and Restrictions

UniStock grants you a personal, worldwide, royalty-free, non-assignable, nonexclusive, revocable, and limited license to access and use the Services for your internal business operations. This license is strictly subject to these Terms.

You agree not to engage in any of the following prohibited activities:

• Copying, modifying, creating derivative works from, reverse engineering, or attempting to discover any source code of the Services.
• Selling, reselling, licensing, sublicensing, providing, leasing, lending, or exploiting the Services for commercial purposes other than your own internal business use.
• Interfering with, disrupting, or bypassing any security features, access controls, or usage limits of the Services.
• Using the Services to transmit viruses, malware, or any other malicious code, or to engage in denial-of-service attacks.
• Accessing the Services via automated means (e.g., scraping, crawling, bots) without our express written permission.
• Using the Services for any illegal, fraudulent, or unauthorized purpose.

3. Subscription Terms, Fees, and Payment

Certain features of the Services require a paid subscription. By selecting a subscription plan, you agree to pay UniStock the subscription fees and any applicable taxes in accordance with the pricing and billing terms presented to you at the time of purchase.

• Billing: Fees are billed in advance on a recurring schedule (e.g., monthly or annually) and are non-refundable except as expressly required by law.
• Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date through your account settings.
• Changes to Fees: We reserve the right to change our prices upon reasonable advance notice. Continued use of the Services after the price change takes effect constitutes your agreement to pay the modified amount.

4. Intellectual Property

Our Rights: UniStock and its licensors retain all right, title, and interest in and to the Services, including all software, design, text, graphics, logos, and the underlying technology. Nothing in these Terms gives you a right to use the UniStock name or any of our trademarks, logos, domain names, or other distinctive brand features.

Your Content: You retain ownership of any data, inventory information, or other content you submit to the Services ("User Content"). By submitting User Content, you grant UniStock a worldwide, royalty-free, non-exclusive license to host, copy, transmit, and display the User Content solely as necessary to provide, maintain, and improve the Services.

5. Third-Party Integrations

The Services may allow you to integrate with third-party platforms, marketplaces, or services (e.g., Shopify, Amazon, Etsy). We do not control these third-party services and are not responsible for their performance, availability, or policies. Your use of third-party integrations is at your own risk and is subject to the terms and conditions of those respective third parties. UniStock shall not be liable for any data loss, sync failures, or damages resulting from third-party API changes, rate limits, or downtime.

6. Termination and Suspension

We reserve the right to suspend or terminate your access to the Services at our sole discretion, without prior notice or liability, for any reason, including but not limited to your breach of these Terms, failure to pay applicable fees, or engaging in activities that harm our platform or other users. Upon termination, your right to use the Services will immediately cease, and we may delete your data in accordance with our data retention policies.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. UNISTOCK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY DEFECTS WILL BE CORRECTED, OR THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL MEET YOUR REQUIREMENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNISTOCK, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (D) SYNC ERRORS, OVERSELLING, OR INVENTORY DISCREPANCIES CAUSED BY SYSTEM DELAYS OR THIRD-PARTY API FAILURES.

IN NO EVENT SHALL UNISTOCK'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID UNISTOCK IN THE PAST TWELVE MONTHS.

9. Indemnification

You agree to defend, indemnify, and hold harmless UniStock and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Services, by you or any person using your account and password; b) a breach of these Terms; or c) your violation of any laws or rights of a third party.

10. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by binding arbitration in Delaware, using the English language in accordance with the Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes. YOU AND UNISTOCK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
